Relocation Expenses Reimbursement

I am an outside sales rep for a software company in Northern California. I was in a good position in So Cal and was recruited out to the present position. I was hired by one of the parent company's business units with a specific description of the opportunity. The new employer re-located me to the Bay area one month after starting with a relocation package for expenses. There is a provision if I left the company within one year I would have to pay it back. Shortly after re-locating, the parent company re-defined the sales model and changed my responsibilities. The change is so drastic, I would have never left my old company.

My question is:

Do I have to repay the relocation money? My position is they defaulted on their end and made a conscious business decision to move in another direction and I should not be made responsible.

A reimbursement provision of this type can be valid and enforceable. Key question is whether the company has materially changed the terms of your agreement with them. You will need to review this with an experienced attorney.
