TN relocation repayment

I began working in Tennessee 14 months ago for a company that offered me a position which allowed me to relocate from New Jersey. The relocation terms required me to pay back any money if I left within 24 months of my relocation pay date. The terms included a 100% Payback if I left within the first 12 months, or a 50% pay back if I left between the 12 and 24 month mark. I have voluntarily terminated my employment for several reasons, and the company has ordered me to repay about 50% of the money. Their records indicate one payment to me that was not actually made, and my W2 indicates that I only received $162 in moving benefits (box 12 code P). What am I legally obligated to pay back? Should I settle this debt?
