Former Employee agrees that for a period of eighteen (18) months following the

Separation Date, he/she will not, either directly or indirectly, on his/her own account or as an

agent, stockholder or owner, employer, employee or otherwise, solicit or cause to be solicited or

engage in business with any customers of the Company or its affiliates, whether or not he/she

had substantive responsibilities with regard to the customer during his/her employment, or make

any attempt to induce them to sever or alter their business relationship with the Company or its

affiliates. Furthermore, Former Employee agrees that for a period of eighteen (18) months

following the Separation Date, he/she will not, either directly or indirectly, on his/her own

account or as an agent, stockholder or owner, employer, employee or otherwise, solicit, recruit,

or attempt to solicit or recruit or hire any employee or consultant of the Company or its affiliates

or otherwise encourage them to leave the employ of the Company (or its affiliates) or to cease

his/her/its consulting or similar business relationship with the Company (or its affiliates).
