What are my rights if the company is sold and wants me to transfer?

The company was sold, and the employees were told that if transfered to the new company and not laid off, the position that would be offered would be comparable to our current position. Well my entire department(in which everyone does not have the same job function) were all offered the same position with the new company that is NOT at all comparable to what we do currently. We were also advised that if we did not accept the offer, then we would not be eligible for unemployment benefits. Can they force me to take a job that under any circumstances I would not apply for myself and a demotion career wise and tell me if I dont take it I wont be eligible for unemployment?
