can an employee's file be kept off site in the possession of a board chairperson?

We recently had our chairman of board step down as chairman - and is now an employee of ours. Per the new chairman of the board he will report directly to the board (this is a non paying board). The new chairman made the statement that he wants all documentation that would be in his personnel file to be in his possession and not kept here - is that permitted? Is it also legal that the board made one of their own an employee who will report directly to them? To me this just seems as an extension of the board - but he is getting paid where the others are not.
